1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the Monitoristic service, operated by Solvix Studio ("we," "us," or "our"), including our website and all related features (collectively, the "Service").
By creating an account, clicking "I agree," or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Solvix Studio regarding the Service.
2. Service Description
Monitoristic is a website and API monitoring platform that provides the following capabilities:
- HTTP monitoring for websites, web applications, and API endpoints
- Automated incident detection and status tracking based on expected response codes
- Notification delivery through supported channels, including Telegram and webhooks
- Public and private status pages to communicate service availability to your users
3. Account Terms
By registering for an account, you represent and warrant the following:
- Age Requirement: You are at least 18 years of age or have the legal authority to enter into binding agreements on behalf of your organization.
- Account Security: You are responsible for maintaining the security of your account, including keeping your password confidential. You accept responsibility for all activity that occurs under your account.
- Single Organization: Each account is associated with a single organization. Sharing a single account across multiple organizations is not permitted.
- Accurate Information: You must provide accurate, complete, and current information during registration and keep your account details up to date.
- Notification of Breach: If you become aware of any unauthorized use of your account or any other security breach, you must notify us immediately at [email protected].
4. Acceptable Use
You agree to use the Service responsibly and in compliance with all applicable laws. Specifically, you agree to the following:
Authorized Monitoring
- You will only monitor websites, APIs, and endpoints that you own or for which you have explicit authorization to monitor.
- Unauthorized monitoring of third-party systems may violate computer fraud and abuse laws.
Prohibited Activities
You will not:
- Use the Service to conduct distributed denial-of-service (DDoS) attacks, load testing, vulnerability scanning, or any other form of abuse against third-party systems.
- Share your account credentials with unauthorized individuals or allow third parties to access your account without proper authorization.
- Attempt to circumvent plan limits, rate limits, or any other system restrictions imposed by the Service.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service for any illegal purpose or in violation of any applicable laws.
Enforcement
- We reserve the right to suspend or terminate accounts that violate these Terms, with or without prior notice depending on the severity of the violation.
- In cases of egregious violations, we may terminate your account immediately without notice.
5. Payment Terms
Access to paid features of the Service is subject to the following payment terms:
Paddle as Merchant of Record
- All payments are processed by Paddle.com, which acts as the Merchant of Record for your purchases.
- This means your contractual relationship for payment processing is with Paddle, not Solvix Studio.
- Paddle handles all aspects of payment processing, including payment collection, tax calculation and remittance, payment method security, and PCI compliance.
Pricing and Billing
- Prices shown on our website are in United States Dollars (USD). The final amount charged may vary based on your local currency and applicable taxes, as determined by Paddle.
- Paddle calculates and collects any required sales tax, VAT, or GST based on your location.
- Subscriptions are billed on a monthly or annual basis, at your election. Your billing cycle and renewal date are managed through Paddle's payment system.
Payment Methods
- Paddle accepts major credit/debit cards, PayPal, and other payment methods as displayed at checkout.
- All payment credential data is handled directly by Paddle; we never see or store your payment details.
Price Changes
- We reserve the right to change subscription prices for future renewal periods.
- Any price changes will be communicated with at least 30 days' notice before your next billing renewal date.
- You may cancel before the renewal takes effect if you do not agree to the new price.
Failed Payments
- If a payment fails, Paddle may make additional attempts to collect payment.
- Continued payment failure may result in suspension or cancellation of your subscription.
Payment-Related Inquiries
- For questions specifically about payments, billing, invoices, taxes, or payment methods, you may contact Paddle directly or contact us for assistance with payment-related issues.
Applicable Terms
- Your purchase is governed by both these Terms and Paddle's Buyer Terms.
- We encourage you to review Paddle's Buyer Terms, which explain your rights regarding payment processing, refunds, and payment data privacy.
- Payment Data Privacy: Paddle's handling of your payment and billing data is governed by Paddle's Privacy Policy. For information about how we process your account and monitoring data, please see our Privacy Policy.
6. Refunds and Cancellation
Satisfaction Guarantee
- We offer a 14-day satisfaction guarantee on all paid plans.
- If you are not satisfied within 14 days of your initial purchase, you may request a full refund.

Cancellation
- You can cancel your subscription at any time.
- Cancellation takes effect at the end of your current billing period, and you will not be charged again after that.
- You can cancel from your account dashboard or by contacting us at [email protected].
Plan Changes
- Plan downgrades take effect immediately. You will receive a prorated credit for the remaining time on your current plan, applied to your next billing cycle.
- Plan upgrades take effect immediately. You will be charged a prorated amount for the upgrade.
Refund Processing
- All refunds are processed by Paddle in accordance with their refund policy.

Consumer Rights
- Nothing in this section limits any refund or withdrawal rights you may have under applicable consumer protection laws, including statutory withdrawal rights in the EU/EEA, UK, and other regions.
7. Service Level
Availability Commitment
- We design and operate our infrastructure to maximize availability.
- While we do not provide a formal SLA with uptime guarantees or credits, we design our infrastructure for high availability and work to minimize downtime.
Maintenance
- We may perform scheduled maintenance from time to time.
- We will provide at least 24 hours' advance notice (via email or in-app notification) for planned maintenance windows that may affect service availability.
- Emergency maintenance may be performed without advance notice when necessary to address security or stability issues.
Platform Dependencies
- The Monitoristic service depends on third-party infrastructure, including Cloudflare.
- We are not liable for service interruptions or degraded performance caused by factors outside our reasonable control, including but not limited to Cloudflare outages, internet backbone disruptions, third-party infrastructure failures, or force majeure events.
No Guarantee of Detection
- Monitoristic is a best-effort monitoring service.
- We do not guarantee that all incidents or outages will be detected, or that alerts will be delivered without delay.
- You should not rely solely on Monitoristic for critical incident detection.
- We are not responsible for any losses, damages, or costs resulting from undetected downtime or performance degradation of your monitored services, regardless of the cause.
Monitoring Data Retention
- Historical check results are retained according to your subscription plan tier:
- Lite: 30 days
- Pro: 90 days
- Business: 90 days
- Data outside retention periods is permanently deleted.
8. Data & Privacy
- Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data and monitoring information.
- By using the Service, you acknowledge that you have read and understood our Privacy Policy.
9. Intellectual Property
Our Intellectual Property
- The Monitoristic service, including its design, source code, documentation, trademarks, and all related materials, are and remain the exclusive property of Solvix Studio and its licensors.
Your Data
- Your monitoring data, configuration settings, and any content you upload to the Service remain your property.
License to Us
- By using the Service, you grant us a limited, non-exclusive, revocable license to process, store, and transmit your data solely for the purpose of providing, maintaining, and improving the Service, such as troubleshooting issues and enhancing performance and reliability.
Feedback
- If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and implement such feedback for any purpose.
10. Service Modifications
We continuously improve and evolve the Monitoristic service. We reserve the right to:
- Add new features and capabilities at any time without notice.
- Modify or discontinue existing features with at least 30 days' notice for features included in paid plans, unless the modification is necessary to address security or legal compliance issues.
- Change plan structures, pricing, or included features with at least 30 days' notice before your next renewal date.
Material Changes
- Material reductions in service capabilities for paid plans will be communicated via email and in-app notification.
- If you do not agree with a material change, you may cancel your subscription before the renewal date when the change takes effect.
- We will not materially reduce the core monitoring functionality of your plan without offering you the option to:
- Continue with your current plan until the end of your current billing period, or
- Switch to an alternative plan that better meets your needs.
Beta Features
- Beta, preview, or experimental features may be changed, discontinued, or deprecated without notice and are not considered part of the paid service capabilities.
11. Termination
Termination by You
- You may cancel your subscription at any time from your account dashboard.
- Cancellation takes effect at the end of your current billing period.
- Upon cancellation, you may request deletion of your data by contacting [email protected].
Termination by Us
- We may terminate or suspend accounts that violate these Terms.
- Where practicable, we will provide written notice and an opportunity to remedy the violation before termination.
- In cases of egregious violations (e.g., illegal activity, security breaches, abuse), we may terminate immediately without notice.
Effect of Termination
- Upon termination, you may request deletion of all data associated with your account by contacting [email protected]. We will complete deletion within 30 days of your request.
- If no deletion request is made, we may retain your data in accordance with our Privacy Policy.
- You will lose access to all features of the Service, including your account dashboard and monitoring data.
Survival
- The provisions of Sections 9 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), 14 (Governing Law & Disputes), and 15 (General Provisions) shall survive the termination of these Terms.
12. Limitation of Liability
Disclaimer of Warranties
- The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee that the Service will be uninterrupted, secure, or error-free.
- We do not guarantee that monitoring will detect all incidents or that alerts will be delivered without delay.
Limitation of Damages
To the maximum extent permitted by applicable law:
- In no event shall Solvix Studio, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities.
- Our total aggregate liability arising out of or related to your use of the Service shall not exceed the total fees paid in connection with your use of the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
- We are not responsible for any losses, damages, or costs resulting from undetected downtime or performance degradation of your monitored services, regardless of the cause.
Monitoring Accuracy
- While we strive for accuracy, we do not guarantee that monitoring results are 100% accurate.
- Network issues, temporary outages, or other factors beyond our control may affect monitoring accuracy.
- You should use monitoring data as one of several indicators of your service health.
13. Indemnification
Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Solvix Studio, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- (a) Your use of the Service in violation of these Terms or applicable law;
- (b) Monitoring endpoints you do not own or have authorization to monitor; or
- (c) Your violation of the rights of any third party.
We reserve the right to control the defense and settlement of any such claim at our sole discretion.
Payment-Related Indemnification
- For payment-related matters, Paddle's indemnification provisions in its Buyer Terms shall apply.
- Your indemnification obligations to us do not extend to payment processing matters that are Paddle's responsibility under its Buyer Terms.
Our Indemnification Obligations
We agree to indemnify you against claims that the Service infringes third-party intellectual property rights, provided that:
- (a) You notify us promptly in writing of any such claim;
- (b) You grant us sole control over the defense and settlement of the claim; and
- (c) You cooperate reasonably with our defense.
This indemnification obligation does not apply to the extent the claim arises from:
- (i) Your modification of the Service;
- (ii) Your use of the Service in combination with third-party services;
- (iii) Your failure to implement updates or security patches we provide; or
- (iv) Your violation of these Terms.
14. Governing Law & Disputes
Service-Related Disputes
- Except as set forth below regarding payment-related disputes, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
- Before bringing any formal legal claim related to the Service (not including payment disputes), both parties agree to attempt to resolve the dispute informally by contacting the other party and allowing at least 30 days for resolution.
- If the dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
Payment-Related Disputes
- Disputes relating to payment processing, billing, charges, refunds, or other payment-related matters are governed by Paddle's Buyer Terms and Paddle's dispute resolution provisions.
- Your rights and remedies for payment-related disputes are determined by Paddle's policies and applicable payment method rules (such as chargeback rights under card network rules).
15. General Provisions
Severability
- If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Entire Agreement
- These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Solvix Studio regarding the Service and supersede all prior agreements and understandings.
Assignment
- You may not assign or transfer your rights under these Terms without our prior written consent.
- We may assign our rights and obligations under these Terms without restriction, for example in connection with a merger or acquisition.
Waiver
- Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Force Majeure
- We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, strikes, riots, government actions, or third-party infrastructure failures.
Consumer Protection
- Nothing in these Terms shall limit or exclude any rights you may have under mandatory consumer protection laws in your jurisdiction, including the EU Consumer Rights Directive.
16. Changes to Terms
We may modify these Terms from time to time to reflect changes in our Service, legal requirements, or business practices:
- Notice: We will provide at least 30 days' advance notice of any changes to these Terms via email to the address associated with your account.
- Material Changes: Material changes will be clearly communicated before they take effect, with a summary of what has changed.
- Acceptance: Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.
- Right to Cancel: If you do not agree with the updated Terms, you may cancel your subscription before the changes take effect.
- Explicit Consent: Where required by applicable consumer protection laws, we will seek your explicit consent before material changes take effect.
17. Data Processing Addendum
For business customers subject to GDPR or other data protection laws that require a written data processing agreement, our Privacy Policy constitutes our Data Processing Addendum (DPA) and sets forth the terms under which we process personal data on your behalf.
If your organization requires a standalone DPA with additional provisions (such as EU Standard Contractual Clauses for international data transfers, or specific security and audit requirements), please contact us at [email protected].
Key DPA Commitments
- We process personal data only as necessary to provide the monitoring service
- We implement appropriate technical and organizational security measures
- We assist with data subject requests to the extent technically feasible
- We return or delete your data upon termination (as specified in our data retention policy)
- We maintain subprocessor relationships with providers that meet equivalent security standards
